Terms of Use

This English version is provided for convenience. The Spanish version is the legally binding terms for Mexico.
These Terms of Use govern access to and use of the Service (Próxima Platform), offered by Truedocs México S.A.P.I. de C.V. (hereinafter, “Próxima AI”, “Próxima”, “we”, or “us”), with commercial address in Mexico.
By creating an account, signing in, executing an order form, or using the Service, you accept these terms on your own behalf or on behalf of the legal entity you represent (“Customer”, “you”).
Definitions
- Service / Próxima Platform: the software and artificial-intelligence solutions described in section 1.
- Próxima Console: web control plane at
console.flyproxima.com(workspaces, configuration, usage, billing, keys, and run observability). - Truedocs / Truedocs AI: document platform and API at
api.truedocs.mx, infrastructure operated by Próxima. - Omnichannel Platform: omnichannel interaction capabilities (voice, chat, email, social, and related channels), subject to plan or workspace availability.
- Customer Data: raw data, documents, audio files, text, and other inputs you or your organization submit to the Service.
- Outputs: results, transcriptions, extracted text, agent responses, and other content generated by the Service.
1. The Service
The Service comprises the software and artificial-intelligence solutions offered by Próxima under the Próxima AI / Próxima brand, including without limitation:
- Próxima Console: the control plane to manage workspaces, configure agents, review usage and billing, manage keys, and observe runs.
- AI Agents: orchestration of workflows that combine Próxima product capabilities (documents, voice, messaging, or others), with manual, API, webhook, channel, or scheduled triggers.
- Products: AI services usable independently or through agents, including Truedocs / Truedocs AI and the Omnichannel Platform, as available.
- APIs, SDKs, and integrations: programmatic access and connections to external channels or systems (for example WhatsApp or webhooks) when enabled for your workspace or plan.
- Future functionality of the same platform that Próxima makes available under these Terms, unless a written order or contract states otherwise.
You may access the Service through Próxima Console, enabled APIs or channels, or both. Using a product or channel without using every Console screen does not exclude you from these Terms.
You may register, complete the onboarding wizard, start a trial, or join an existing workspace by invitation.
We reserve the right to modify, update, or discontinue features, rate limits, or platform availability. Specific Service Level Agreements (SLAs) apply only when explicitly executed in a separate written agreement.
2. Accounts and Identity
User authentication is managed via our identity infrastructure. You are solely responsible for:
- maintaining the confidentiality of your credentials and access tokens;
- all activities, automated API calls, and operations occurring under your account or workspace;
- ensuring that all team members or third parties invited to your workspace are fully authorized.
You must notify us immediately at [email protected] upon becoming aware of any breach of security or unauthorized account access.
3. Intellectual Property Rights
- Customer Data: You retain all ownership rights to Customer Data. You grant Próxima a worldwide, non-exclusive, royalty-free license to host, process, and transfer such data solely as necessary to provide, secure, and maintain the Service, including Truedocs infrastructure.
- Próxima IP: Próxima retains all right, title, and interest (including all patent, copyright, trade secret, and trademark rights) in and to Próxima Console,
api.truedocs.mx, agent architectures, prompt engineering libraries, fine-tuned model weights (excluding Customer Data), software, workflows, agent methodologies, performance metrics, and anonymous usage aggregations. - Feedback: Any feedback, suggestions, or feature requests you provide regarding the platform may be used by Próxima without restriction or compensation to you.
4. Use of Artificial Intelligence Models
- Models used: The Service may incorporate artificial intelligence models, including large language models (LLMs), as well as machine learning systems and related techniques (for example recognition, classification, extraction, or synthesis of speech and text).
- Probabilistic nature: You acknowledge that such models are probabilistic in nature. Outputs may contain errors, inaccuracies, or incomplete information (“hallucinations”), including voice-transcription or document-extraction failures.
- Human supervision: You are solely responsible for evaluating, verifying, and testing the accuracy, appropriateness, and compliance of all Outputs prior to relying on, publishing, or acting upon them in commercial, legal, or operational environments (human-in-the-loop).
- No professional advice: Outputs generated by Próxima agents do not constitute legal, financial, medical, or other professional advice.
5. Acceptable Use and Legal Compliance
You agree to use Próxima lawfully and strictly in accordance with these Terms. You shall not:
- use the platform to conduct unauthorized, unsolicited, or unlawful voice communications (robo-calls, spam) or breach applicable telecommunications, do-not-disturb, consumer-protection, or prior-consent rules for call recording;
- bypass authentication controls, quotas, or rate-limiting security measures;
- submit malware, fraudulent documents, or content that violates third-party intellectual property or privacy rights;
- reverse engineer, decompile, or attempt to extract the source code or underlying prompts of the platform;
- process personal data without having obtained all required legal consents under Mexico’s LFPDPPP or applicable international data protection laws;
- use the product to monitor people unlawfully or for purposes that violate Mexican rules applicable to identity documents.
6. Billing and Usage
Usage is measured in Próxima Actions (or applicable plan metrics) and billed through Stripe according to your workspace subscription plan. Uncontested charges are deemed accepted after thirty (30) calendar days from the invoice date. Applicable taxes, including Value Added Tax (VAT / IVA in Mexico), will be added to charges where required by law.
Usage within sandboxed test environments (TEST keys) does not incur billing to Stripe but remains subject to platform fair-use policies.
7. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Próxima, its directors, employees, or partners be liable for any indirect, incidental, punitive, special, or consequential damages, including loss of profits, data loss, business interruption, or system downtime resulting from your use or inability to use the Service.
The total cumulative liability of Próxima for any claims arising out of or relating to these Terms shall not exceed the total amount paid by your organization to Próxima for the Service in the twelve (12) months preceding the event giving rise to liability.
Nothing in these terms limits liability for willful misconduct or where the law forbids it.
8. Indemnification
You agree to defend, indemnify, and hold harmless Próxima, its officers, directors, and employees from and against any third-party claims, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your violation of these Terms; (b) Customer Data submitted to the platform; or (c) your deployment of AI voice or document agents in violation of applicable privacy or telecommunications laws.
9. Suspension and Termination
We may suspend or terminate your access to the Service immediately, with or without prior notice, in the event of a material breach of these Terms, non-payment, or where required by law or regulatory request. You may terminate your account at any time by ceasing usage and contacting support. Upon termination, data retention and deletion will follow our Privacy Notice.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the federal laws of Mexico. Any dispute, controversy, or claim arising out of or relating to these Terms shall be submitted exclusively to the jurisdiction of the competent courts in Monterrey, Nuevo León, Mexico (or Baja California, Mexico, as mutually agreed in enterprise contracts), and the parties waive any other forum or jurisdiction that might apply by reason of their present or future domiciles.
